首先，明确一点，此处所称的股份转让文书，并非国际融资协议中的股份转让协议，也非国际上公司内部的转让协议。

       该术语一般见著于离岸公司章程之中，特别是香港公司章程、百慕大公司章程中。

       具体来讲，一般在章程的“股份转让”（Transfer of Shares）和“股份转移”（Transmission of Shares）部分出现。

       按照章程该部分的规定，记名股份持有人在转让其所持有的记名股份时，需要出具书面的转让文书，即instrument of transfer in writing，然后向公司董事会办理股份转让登记手续。

       而在该转让文书内容中，按照惯例和格式，一般都会涉及到hold unto这一术语。

       通常情况下，其原文为：

       "I/we do hereby accordingly transfer the said share(s) to the Transferee to hold the same unto the Transferee, his or her executors, administrators and assigns, subject to the conditions on which the same were held at the time of the execution hereof;..."

       乍一看，这句话非常拗口，而且有点不合语法；但法律英语往往就是这样的。

       我们先来划分一下句子成份，理一下顺序：

       "I/we do hereby accordingly transfer the said share(s) to the Transferee..."

       这句话都好理解，大家也知道什么意思。

       然后呢，"to hold the same unto the Transferee, his or her executors, administrators and assigns..."，这个是第二段意思；

       接下来，第三段，"subject to the conditions on which the same were held at the time of the execution hereof;..."这个也好理解。

       主要是第二段的"hold the same unto"，实质上，其意思是，"Transferee, his or her executors, administrators and assigns" hold the shares"

       也就是说，"该受让人、其遗嘱执行人、遗产管理人和受让人有权按照......持有该股份"。

       所以，在这个语境下，hold unto是不能连在一起解释的，也无法连在一起解释其意思。
